Terms of Use

1.1 These Website Terms of Use (“Terms”) govern your access to and use of the website at https://talentproof.in (the “Website”).

1.2 The Website is operated by Basmangimat Technologies Private Limited (“BTPL”, “we”, “us”, “our”), a company incorporated under the Companies Act, 2013.

TalentProof is a brand operated by Basmangimat Technologies Private Limited. References to “TalentProof” in these Terms mean Basmangimat Technologies Private Limited.

1.3 What these Terms do not cover. These Terms apply to the Website only. They do not govern:

• the TalentProof web application at https://app.talentproof.in, which is governed by the Platform Terms of Use and the applicable role-specific terms for Students, Institutions and Recruiters, available at https://talentproof.in/terms/ and accepted separately when you create an account;
• our agreements with Institutions and Recruiters, which are governed by the separate written agreements signed with those organisations.

If there is any conflict between these Terms and the Platform Terms of Use in relation to the web application, the Platform Terms of Use prevail.

1.4 Our Privacy Policy and our Cookie Policy form part of these Terms.

2.1 By accessing, browsing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

2.2 We may update these Terms from time to time in accordance with Clause 12. The version in force is the one published on the Website at the time you access it.

3.1 The Website is intended for persons aged 18 years and above.

3.2 We do not knowingly collect personal data from any person under 18 through the Website. If you are under 18, please do not use the Website or submit any information to us through it.

4.1 The Website provides general information about TalentProof, our services, and our organisation.

4.2 No offer. Nothing on the Website is an offer, a commitment, or a solicitation capable of acceptance. It does not create any contract between you and us.

4.3 No guarantee of outcomes. Any reference on the Website to careers, employment, internships, placements, hiring, skills or opportunities is descriptive of what the TalentProof platform enables. We do not guarantee that any person will receive a job, an internship, an interview, an offer, or any particular outcome. Hiring decisions are made by employers, not by us.

4.4 No professional advice. Content on the Website is not legal, financial, career, educational or professional advice, and should not be relied on as such.

4.5 Accuracy. We take reasonable care to keep the Website accurate and current, but we do not warrant that it is complete, error-free or up to date. Content may be changed or removed at any time without notice.

5.1 You may view, browse and print pages of the Website for your own personal, non-commercial reference.

5.2 You must not:

• 5.2.1 copy, reproduce, republish, distribute, sell, licence or commercially exploit any part of the Website except as permitted by Clause 5.1 or with our prior written consent;
• 5.2.2 use any robot, spider, scraper, crawler or other automated means to access, monitor, index or extract data from the Website, except that we permit indexing by search engines in accordance with our robots.txt;
• 5.2.3 frame, mirror or deep-link to the Website in a way that misrepresents its origin or suggests an association or endorsement that does not exist;
• 5.2.4 attempt to gain unauthorised access to the Website, any server, or any account or system connected to it, or probe, scan or test its vulnerability;
• 5.2.5 introduce any virus, malware, worm, trojan or other harmful code;
• 5.2.6 interfere with or disrupt the Website or the networks or servers on which it operates, including by overloading, flooding or denial-of-service activity;
• 5.2.7 reverse engineer, decompile or disassemble any part of the Website except to the extent that restriction is prohibited by law;
• 5.2.8 use the Website for any unlawful purpose, or in a manner that infringes the rights of any person or violates any applicable law;
• 5.2.9 impersonate any person, or misrepresent your identity or affiliation with any person or organisation;
• 5.2.10 collect or harvest personal data of any other user or of our personnel from the Website.

5.3 We may restrict or block access to the Website, in whole or in part, where we reasonably believe these Terms have been breached, or where necessary to protect the Website, our users or our systems.

6.1 Ownership. All content on the Website — including text, graphics, logos, icons, images, page layouts, design elements, audio and video, software and code — is owned by BTPL or licensed to us, and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999 and other applicable laws.

6.2 Marks. “TalentProof” and our logo are marks of BTPL. You may not use them without our prior written consent.

6.3 Third-party marks. Any third-party names, logos or marks appearing on the Website — including those of Institutions, Recruiters, employers or partners — belong to their respective owners. Their appearance does not imply any endorsement of, or affiliation with, BTPL beyond what is expressly stated.

6.4 No implied licence. Nothing on the Website grants you any licence or right in our intellectual property except as expressly set out in these Terms.

7.1 The Website may allow you to submit information through contact, enquiry, demo-request or newsletter forms.

7.2 Personal data you submit is processed in accordance with our Privacy Policy.

7.3 You must submit only information that is accurate and that you are entitled to provide. Do not submit confidential information, or the personal data of any other person, through these forms.

7.4 Any non-personal feedback, suggestion or idea you send us about the Website or our services may be used by us without restriction, obligation or payment to you.

8.1 The Website may link to third-party websites, including those of Institutions, Recruiters and service providers.

8.2 We do not control those websites, we do not endorse their content, and we are not responsible for them or for any loss arising from your use of them. Your dealings with third parties are between you and them.

9.1 We aim to keep the Website available but do not guarantee uninterrupted or error-free access. The Website may be unavailable during maintenance, upgrades, or for reasons outside our control.

9.2 We may modify, suspend or discontinue the Website or any part of it at any time.

10.1 The Website is provided on an “as is” and “as available” basis. To the extent permitted by law, we do not give any warranty, express or implied, as to the Website’s accuracy, completeness, fitness for a particular purpose, security or availability.

10.2 To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, business, opportunity, goodwill or data, arising out of or in connection with your use of, or inability to use, the Website.

10.3 What we do not exclude. Nothing in these Terms excludes or limits our liability where it cannot be excluded or limited under applicable law, including liability for fraud, for wilful misconduct, or for any liability arising under the Consumer Protection Act, 2019. Your statutory rights are unaffected by these Terms.

10.4 These Terms do not limit any obligation we owe you under the Digital Personal Data Protection Act, 2023, which is addressed in our Privacy Policy.

You agree to indemnify us against any loss, claim, liability or reasonable cost we incur arising directly from your breach of Clause 5 (Permitted and Prohibited Use), your infringement of any third party’s rights through your use of the Website, or your unlawful use of the Website. This indemnity does not apply to the extent the loss arises from our own act or omission.

12.1 We may update these Terms. When we do, we will change the version number and the “Last Updated” date at the top and publish the updated Terms on the Website.

12.2 For changes that materially affect your rights, we will display a notice on the Website for at least 15 days before the change takes effect.

12.3 Continued use of the Website after the effective date of a change indicates acceptance of the updated Terms. Previous versions are available on request from the contact in Clause 14.

13.1 These Terms are governed by the laws of India.

13.2 Subject to Clause 13.3, the courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Website.

13.3 Nothing in this Clause affects your right to bring a complaint before a consumer forum having jurisdiction under the Consumer Protection Act, 2019, or to complain to the Data Protection Board of India under the Digital Personal Data Protection Act, 2023.

If you have a complaint or query about the Website, or about any content on it, contact our Grievance Officer:

We will acknowledge your complaint within 24 hours and dispose of it within 15 days of receipt.

15.1 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.

15.2 No waiver. Our failure to enforce any provision does not waive our right to enforce it later.

15.3 Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us in relation to the Website.

15.4 Assignment. You may not assign your rights under these Terms. We may assign ours to a successor in connection with a merger, acquisition or transfer of business.
